Terms & Conditions

Last Updated: [September 2026] · Applicable to: mitovito.com

These Terms of Service ("Terms") are a binding agreement between you and Lumyrax Inc., operating mitovito.com (the "Company," "we," "us"). By accessing the site, creating an account, or placing an order, you accept these Terms in full. If you do not agree, do not use the site.

1. Eligibility

You must be at least 18 years old to use this site or place an order. By placing an order, you represent that you meet this requirement.

2. Product Nature and Health Disclaimer

Products sold on this site are functional mushroom extracts, sold as food ingredients. They are not supplements, drugs, or natural health products, and are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

  • Consult a healthcare provider before use if you are pregnant, nursing, taking prescription medication (including anticoagulants, antidiabetic medication, or immunosuppressants), or managing a medical condition.

  • Use only as directed. The Company is not responsible for effects resulting from use inconsistent with product instructions.

  • Individual experience varies. No specific outcome is guaranteed.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts at our discretion, including for suspected fraud, abuse, or violation of these Terms.

4. Product Information, Pricing, and Availability

  • We attempt to display products, pricing, and availability accurately but do not warrant that content is error-free, complete, or current.

  • We reserve the right to correct pricing or listing errors, limit order quantities, and refuse or cancel any order at our discretion, including after order confirmation, with a full refund of any amount charged for the cancelled portion.

  • All prices are listed in United States dollars (USD) and are subject to change without notice. Pricing will transition to Canadian dollars (CAD) at a future date.

5. Orders and Payment

Placing an order is an offer to purchase, which we may accept or decline. Payment is processed through Stripe, a third-party payment processor; by submitting payment information, you represent that you are authorized to use that payment method. Your card is charged at the time your order is placed. See our Payment & Delivery Policy for full details.

6. Shipping, Returns, and Privacy

Our Payment & Delivery Policy, Refund & Return Policy, Cookie Policy, and Privacy Policy are incorporated into these Terms by reference. Risk of loss and title for ordered items pass to you upon delivery to the carrier.

7. Wholesale and Reseller Inquiries

Wholesale and reseller relationships are not governed by these Terms and require a separate written agreement with the Company. Submitting a wholesale inquiry through this site does not create any business relationship, pricing commitment, or right to resell mitovito products until such an agreement is executed. Unauthorized resale of products purchased at retail through this site, in the course of trade, is prohibited without our prior written consent.

8. Intellectual Property

All content on this site, including trademarks, trade names, product names, logos, text, graphics, photography, and site design, is the property of the Company or its licensors and is protected by applicable intellectual property laws. You receive a limited, revocable, non-exclusive, non-transferable license to access the site for personal shopping purposes only. No other use, reproduction, distribution, or modification of site content is permitted without prior written consent.

9. User Content and Feedback

If you submit reviews, comments, or other content ("User Content"), or send us unsolicited feedback, you grant the Company a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, publish, and distribute that content or feedback for any business purpose, without attribution, compensation, or further consent. You represent that you own or have the rights necessary to grant this license and that the content does not infringe any third party's rights.

10. Prohibited Conduct

  • Using the site for any unlawful purpose or in violation of any applicable regulation

  • Infringing the intellectual property or other rights of the Company or any third party

  • Submitting false, misleading, or fraudulent information, including in connection with an order, return, or chargeback

  • Uploading or transmitting malicious code, or attempting to interfere with the site's security or normal operation

  • Scraping, harvesting, or automated data collection from the site without prior written consent

  • Reselling products purchased from the site in the course of trade without our prior written authorization

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the site and its content are provided "as is" and "as available," without warranties of any kind, express or implied. This section does not affect any statutory warranty or consumer protection right that cannot lawfully be excluded under the laws of Quebec, other Canadian provinces, or your place of residence, including rights under Quebec's Consumer Protection Act.

12. Limitation of Liability

To the maximum extent permitted by applicable law, the Company will not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the site or products, regardless of the theory of liability. The Company's total aggregate liability for any claim arising out of these Terms or your purchase will not exceed the amount you paid for the product giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including under Quebec's Consumer Protection Act.

13. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, misuse of a product, or violation of any law or third-party right.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or your use of the site will be submitted to the exclusive jurisdiction of the courts of the Province of Quebec. Nothing in these Terms requires mandatory arbitration or waives your right to participate in a class action, in accordance with Quebec's Consumer Protection Act.

15. Force Majeure

The Company is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disaster, labor dispute, act of government, pandemic, supply chain disruption, or carrier failure.

16. Language / Langue

English: These Terms are available in both English and French. In the event of any discrepancy between the two versions, and where not otherwise required by applicable Quebec law, the French version governs, consistent with Quebec's Charter of the French Language.

Français : Les présentes Conditions sont disponibles en français et en anglais. En cas de divergence entre les deux versions, et sauf disposition contraire de la loi québécoise applicable, la version française prévaut, conformément à la Charte de la langue française du Québec.

17. General

  • Entire Agreement: These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and the Company regarding the site.

  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

  • No Waiver: Failure to enforce any provision is not a waiver of the right to enforce it later.

  • Assignment: You may not assign these Terms without our written consent; we may assign these Terms freely in connection with a merger, acquisition, or sale of assets.

  • Electronic Communications: You consent to receive communications from us electronically, and agree that such communications satisfy any legal requirement that they be in writing.

18. Changes to These Terms

We may update these Terms at any time by posting a revised version with an updated date. Continued use of the site after changes take effect constitutes acceptance.
